Which company you can open

A sole trader business is cheaper and faster but not open to everyone. A spółka can be opened by a citizen of any country. We check your eligibility before you pay anything.

Who can open a sole trader business

The list is wider than people assume. If you fit even one item, a sole trader business is open to you — and that is 615 zł instead of 2250 zł.

A spółka is open to everyone

Citizenship does not matter. Online through S24 takes up to four working days. The same result at a notary costs 4000 zł and takes up to forty working days.

Required: a PESEL number and profil zaufany. Citizenship does not matter. If you have no PESEL or signature, we arrange them at 200 zł per person.
A foreigner can open a sole trader business with at least one of the following
  • UKR status or temporary protection in Poland
  • Citizenship of an EU country, the USA or Switzerland
  • Full-time study at a Polish university or a Polish university degree
  • Blue Card — Niebieska Karta UE
  • Permanent residence or a long-term EU resident card
  • Temporary residence based on family reunification, study or research
  • Refugee status or subsidiary protection
  • Residence on humanitarian grounds
  • Temporary residence plus marriage to a Polish citizen living in Poland
  • Temporary residence for business — continuing activity under a CEIDG entry
  • A valid Karta Polaka
  • A family member of an EU citizen — spouse, child under 21, dependant or dependent parent
  • A Poland Business Harbour visa
  • A filed application for temporary or permanent residence, until it is decided

Not finding yourself on the list is not a dead end. A spółka can be opened by citizens of any country, and it can also carry your legal residence: an operating company gives you grounds for a business-based residence card.

A residence card application is filed electronically through MOS 2.0 and requires profil zaufany. That is why we arrange PESEL and the signature during the company registration, rather than as a separate exercise six months later.

Frequently asked questions

Do I need to travel to Poland to open a company?

No. Online registration does not require the founders to be present in person, and no translator or notary is needed. You will need a PESEL number and an electronic signature; the signature is confirmed in person, but that can be done at a Polish consulate in your country rather than in Poland. Travel is only mandatory for registration at a notary.

What does registration cost in total?

Sp. z o.o. online is 2000 zł for our work plus 250 zł paid to the court, 2250 zł in total. On top of that, if you don’t have them yet: profil zaufany at 200 zł per person and PESEL for founders and directors at 200 zł per person. Sole trader registration is 615 zł with no state fee.

Which is better — a sole trader business or an sp. z o.o.?

A sole trader business is cheaper: 615 zł against 2250 zł, and it opens in two days instead of four. But not everyone is eligible — you have to fit at least one of fourteen grounds, listed above on this page. If you are eligible, we calculate taxes and ZUS for both forms and tell you which works out better at your turnover.

I’m not a Ukrainian citizen. Am I definitely barred from a sole trader business?

Most likely not. A sole trader business is open to citizens of the EU, the USA and Switzerland, to students and graduates of Polish universities, to holders of a Blue Card, permanent residence, EU resident status or Karta Polaka, to family members of EU citizens and on several other grounds — the full list is above on this page. If none applies, we open an sp. z o.o., which has no citizenship restrictions.

Do you open the bank account?

We find a bank that is comfortable with non-resident founders and help you open the account: we prepare the documents and guide you through the process. The decision to open the account is the bank’s. For a sole trader business we also add the account to the CEIDG register.

What is CRBR and why is it mentioned separately?

It is the central register of beneficial owners. Registering there is a separate obligation once the company is entered in KRS. People who register on their own most often forget it. With us it is part of the sp. z o.o. package.

Does a company give grounds for a residence card?

An operating company can serve as grounds for a residence card through działalność gospodarcza. The application is filed only electronically through MOS 2.0 and requires profil zaufany. That is why it is worth arranging PESEL and the signature during the company registration, rather than separately six months later.

What happens after registration?

The company starts reporting: declarations, ZUS, VAT, annual accounts, letters from the authorities. We arrange accounting services and can keep running the company for you, together with a registered address and mail handling.

What do you need from me to start?

For a spółka: a passport, a PESEL number, profil zaufany and a decision on who the founders are. Citizenship can be anything. For a sole trader business: the same plus one of the grounds from the list. If you have no PESEL or signature, we arrange them at 200 zł per person.

What usually goes wrong when people register on their own

Every one of these can be fixed. But fixing it costs weeks, and sometimes a second registration.

PKD codes picked at randomEither a pile of codes “just in case” or one that is too narrow. The first raises questions at the bank. The second forces you to amend the register as soon as a new client appears.
CRBR forgottenRegistering the beneficial owners is a separate obligation after the company is entered in the register. People find out about it last.
No PESEL and no profil zaufanyWithout them you cannot sign documents online. People reach the signing stage and discover that getting the signature takes several more days.
An address the bank won’t acceptA random virtual address with a hundred companies registered at it is a reason to refuse an account.
The bank refused a non-residentThe company is registered but there is no account. Some banks will not open accounts for non-resident founders without a visit in person.
A sole trader business opened without eligibilityRight now JDG is available only with UKR status or a CUKR card. That has to be checked before registration, not after.

What a Polish company gives you

Sp. z o.o. is the most convenient form for a foreigner. The procedure is clear, with no hidden costs and no awkward requirements for the founding documents.

Citizenship does not matterThere are no citizenship requirements for directors or founders. A foreigner from any country can be a shareholder and a director.
Share capital does not tie up your moneyThe minimum is 5000 zł. It does not have to be paid into a bank account: the funds can be held in the director’s cash desk and spent on the business.
You don’t have to pay the board a salaryA board member may serve without pay. If the role is paid, the activity is taxed at 21%.
Grounds for residenceBoard members and company employees can obtain a residence permit. The company becomes your grounds for legal residence.
Work without geographic limitsA Polish legal entity can operate worldwide, within each country’s law.
